1. About this agreement
These terms govern the relationship between SuiteHub ("SuiteHub", "we") and the company or individual contracting the service ("Customer", "you"). In the Republic of Panama, SuiteHub is distributed by PROOQ S.A., who acts as the local contracting counterparty.
By contracting SuiteHub in any of its editions (Lite, Core, Pro, Enterprise) you accept these terms. If you do not agree, do not use the service.
2. The service
SuiteHub is a SaaS (software-as-a-service) platform for business management. The features included depend on the contracted edition — the pricing comparison table is part of this agreement.
We commit to monthly availability:
- Lite and Core: 99.0% (target, no contractual SLA).
- Pro: 99.5% (target, no contractual SLA).
- Enterprise: 99.9% with contractual SLA and credits for breach.
3. Payment and billing
- The price published at /en/pricing is the one in effect when you contract.
- Monthly or annual billing (with 16% discount). Automatic renewal until cancellation.
- Methods: ACH, Yappy, credit card, bank deposit. Enterprise can pay against invoice on net-30 terms.
- If you pay annually and cancel mid-year, there's no refund for unused time, except for Enterprise with a different contractual clause.
- Panamanian VAT / ITBMS is included on invoices where applicable.
4. Data ownership
Your data is yours. We are custodians. This includes:
- Your customer, supplier and employee information.
- Generated invoices, quotes, receipts.
- Saved reports, PDF templates, configuration.
Upon cancellation, we provide a full export (JSON, CSV or SQL format depending on edition) during a 30-day grace period. After that, we definitively delete the data except for what Panamanian regulation requires us to retain (DGI e-invoicing: 5 years).
5. Your responsibility
- Maintain the confidentiality of your account credentials.
- Ensure that the information you upload to SuiteHub is truthful and complies with Panamanian law.
- Do not use the service for illegal activities (money laundering, tax evasion, fraud).
- Keep your contact information and payment method up to date.
- Comply with DGI regulation when issuing electronic invoices — SuiteHub facilitates the flow, but the tax responsibility is yours.
6. Our responsibility and limits
Limited liability: our maximum liability for any claim is limited to the amount paid by you during the 12 months prior to the event giving rise to the claim.
Exclusions: we are not responsible for:
- Data loss due to force majeure or Customer decisions (accidental deletion).
- Interruptions caused by third parties (Hostinger, PAC, the Customer's internet).
- Indirect damages, loss of profit, loss of business opportunity.
- DGI fines or penalties caused by incorrect information uploaded by the Customer.
7. Cancellation and suspension
You can cancel your subscription at any time from the admin panel or by writing to info@suitehub.net. Cancellation takes effect at the end of the current billing period.
We may suspend the service if:
- There's non-payment for more than 15 days after the due date.
- We detect misuse (hacking, API abuse, illegal activity).
- Required by a judicial or regulatory authority.
Before any suspension for non-payment, we notify you at least 7 days in advance.
8. Changes to the service and these terms
We may update features, improve the system or change prices. For material changes (price or removed features) we give at least 30 days of advance notice. If you disagree, you may cancel without penalty.
9. Intellectual property
SuiteHub, its logos, code and documentation are the exclusive property of SuiteHub. PROOQ S.A. distributes the service in Panama under license. Your subscription grants you a limited, non-exclusive, non-transferable license to use the service for the contracted term.
In the Enterprise edition with white-label, the license includes the right to present it under your brand, but not to resell it to third parties without an additional contract.
10. Jurisdiction and applicable law
This agreement is governed by the laws of the Republic of Panama. Any controversy will be settled in the ordinary courts of Panama City, except where a specific arbitration clause exists in individual Enterprise contracts.
